1. The Service

Invoiceee is a software-as-a-service application that helps small businesses create, manage, and download invoices and related documents, and optionally track clients, items, expenses, and GST summaries.

The Service is provided on an “as-is” and “as-available” basis and may evolve over time.

2. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract under Indian law. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity under your account. Notify us immediately of any unauthorised use.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with applicable Indian laws, including tax and GST regulations. You must not misuse the Service, attempt to gain unauthorised access, upload unlawful content, or use it to create fraudulent or misleading documents.

4. Your Content & Responsibility

You retain ownership of the business data, client details, and invoice content you enter (“Your Content”). You are solely responsible for the correctness, legality, and tax/regulatory compliance of the invoices and documents you generate.

Invoiceee does not provide legal, tax, or accounting advice. Any templates, GST treatment, or HSN/SAC suggestions are provided for convenience only and should be verified by you or your advisor.

5. Subscriptions & Billing

Invoiceee offers a free plan and a paid Premium subscription. Premium is available on monthly (₹199/month) or annual (₹999/year) plans, billed in advance through our payment processor Razorpay and renewing automatically for the same cycle until cancelled. By subscribing you authorise recurring charges. You may cancel anytime; access continues until the end of the paid period (the current month, or the remaining term of an annual plan). Annual plans are charged in full at the start of the term and are non-refundable for unused months. Prices may change with prior notice, effective from your next renewal. You are responsible for any taxes applicable to your subscription. Refunds are governed by our Refund & Cancellation Policy.

6. Intellectual Property

The Service, including its software, design, templates, and branding, is owned by PortraitXAI LLP and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your business. You may not copy, resell, or reverse-engineer the Service.

7. Availability & Changes

We may modify, suspend, or discontinue any part of the Service at any time. We aim for high availability but do not guarantee uninterrupted or error-free operation. We may update these Terms; continued use after changes takes effect constitutes acceptance.

8. Disclaimers

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied. We do not warrant that documents generated will meet every legal or tax requirement applicable to your business.

9. Limitation of Liability

To the maximum extent permitted by law, PortraitXAI LLP shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, revenue, or profits. Our total aggregate liability for any claim shall not exceed the amount you paid us for the Service in the three (3) months preceding the claim.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for breach of these Terms. On termination, your right to use the Service ceases; provisions that by their nature survive will continue to apply.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or relating to the Service or these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
